The scope, deliverables, fees, and timelines of each project are defined in a separate Service Agreement or Project Proposal (“Project Agreement”).

If there is a conflict between these Terms and a signed Project Agreement, the Project Agreement shall prevail.

• Attempt to interfere with or disrupt the website, its servers, or networks.

Client Responsibilities

• Review and approve project deliverables within agreed timelines.

Delays in providing feedback, approvals, or content may impact project schedules and deliverables. Voyd Group is not liable for delays caused by a client’s failure to provide timely input.

Payment Terms — Fees and Invoicing

All service fees and payment schedules will be specified in the corresponding Project Agreement or Proposal.

Payments are to be made in the currency stated on the invoice and through the approved payment method (e.g., wire transfer, Wise, or other agreed methods).

Payment Terms — Non-Payment and Late Payment

If payment is not received by the due date:

• Work may be paused until full payment is received.

• Late payments may incur interest or fees as stated in the Project Agreement.

• Failure to pay may result in termination of services and forfeiture of delivered materials.

Payment Terms — Refunds

All payments are final and non-refundable unless otherwise required by law or specified in the Project Agreement.

Refunds, if any, are issued solely at the discretion of Voyd Group.

Confidentiality

Both parties agree to treat all non-public information exchanged during the course of business as confidential.

Neither party shall disclose or use confidential information except as necessary for fulfilling the project scope or as required by law.

Confidential information does not include information that:

• Is or becomes publicly available without breach of these Terms;

• Was lawfully received from a third party without restriction;

• Was independently developed without reference to the other party’s information.

Termination — Termination by Client

Clients may terminate their Project Agreement by written notice.

However, termination may be subject to fees or forfeitures outlined in the relevant agreement, including payment for completed work and expenses incurred.

Termination — Termination by Voyd Group

Voyd Group may suspend or terminate access to its website or services if:

• You breach these Terms or fail to pay outstanding fees;

• You engage in conduct harmful to Voyd Group’s reputation or operations;

• Continued service becomes impracticable due to unforeseen circumstances.

Termination — Effect of Termination

Upon termination:

• You must cease all use of services and content provided by Voyd Group.

• Any outstanding balances remain immediately due and payable.

• Voyd Group retains ownership of all unpaid work or materials.

Disclaimers

The website and services are provided on an “as is” and “as available” basis.

Voyd Group makes no representations or warranties of any kind, express or implied, regarding:

You agree to indemnify, defend, and hold harmless Voyd Group, its affiliates, employees, directors, agents, and contractors from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

• Your violation of these Terms;

• Your misuse of the website or services;

• Any infringement of intellectual property or third-party rights.

Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of Lebanon, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Beirut, Lebanon for the resolution of all disputes.

Dispute Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally and in good faith.

If the dispute remains unresolved, it shall be settled by binding arbitration in Beirut, Lebanon, in accordance with applicable Lebanese arbitration laws.

Each party shall bear its own costs unless otherwise determined by the arbitrator.
